1Agreement to these terms

These Terms of Service (“Terms”) govern your access to and use of the Hollis concierge service, our website, text-message (SMS/MMS) services, and any related applications, features, or services (collectively, the “Service”).

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, do not use the Service.

You must be at least 18 years old and capable of forming a legally binding contract to use the Service. The Service is currently intended for users located within the United States.

2What Hollis is (and is not)

Hollis is a concierge and life-administration service that helps users complete personal and household tasks remotely.

Hollis may provide services through human personnel, contractors, automated systems, artificial-intelligence technologies, machine-learning tools, or a combination of these methods.

Hollis provides administrative, coordination, research, communication, scheduling, purchasing, and organizational assistance only.

Hollis does not provide legal, financial, investment, tax, accounting, insurance, medical, mental-health, or other professional advice. Any information provided through the Service is for general informational purposes only and should not be relied upon as professional advice.

Hollis is not a party to transactions between you and third parties and is not responsible for third-party products, services, pricing, availability, conduct, cancellations, delays, errors, policies, or outcomes.

3Scope of the Service

Subject to these Terms, Hollis may assist with tasks including:

  • Reservations and dining
  • Travel planning and coordination
  • Scheduling and calendar management
  • Research and comparison shopping
  • Bill and account administration
  • Household coordination
  • Gift purchasing and logistics
  • Administrative and organizational support

The Service is virtual only.

We do not perform in-person errands, physical deliveries, transportation services, legal representation, financial management, medical services, or any activity requiring a professional license.

We may decline requests that are unlawful, unsafe, deceptive, abusive, technically impractical, operationally burdensome, or otherwise inconsistent with our business practices.

Outcomes. We will use commercially reasonable efforts to assist with your requests. However, we do not guarantee:

  • Successful completion of any request
  • Reservation availability
  • Appointment availability
  • Product availability
  • Vendor responsiveness
  • Pricing accuracy
  • Travel arrangements
  • Timing of completion
  • Any particular outcome

Many outcomes depend on third parties and factors beyond our control.

4Unlimited membership and fair use

Membership includes unlimited requests for ordinary personal and household use.

Because the Service is delivered using human labor and operational resources, unlimited use is subject to reasonable and good-faith fair use.

We may prioritize, queue, schedule, defer, or limit requests that are excessive, automated, abusive, commercial in nature, or otherwise inconsistent with ordinary personal use.

We reserve the right to limit, suspend, or terminate access in cases of abuse or misuse.

5Membership, billing, trial, and cancellation

Plans and fees. Membership plans and pricing are described on askhollis.com and may be updated from time to time. We may modify pricing upon advance notice as required by applicable law.

Free trial. New users may be offered a free trial period. Unless canceled before the end of the trial period, the applicable membership fee will automatically be charged when the trial ends.

Recurring billing. Membership fees are billed in advance on a recurring basis through our payment processor. You authorize recurring charges to your payment method until cancellation.

Cancellation. You may cancel at any time. Cancellation becomes effective at the end of the current billing period. Except where required by law, fees already paid are non-refundable.

Failed payments. If payment fails, we may retry the payment, suspend service, limit account access, or terminate membership until payment issues are resolved.

6Payments and purchases made on your behalf

Payment information. Payment information is processed and stored by third-party payment providers. Hollis generally does not receive or store full payment card numbers.

You should never send passwords, authentication credentials, PINs, bank account numbers, or full payment card numbers through text messages or email.

Purchases. If you authorize Hollis to make purchases on your behalf, you authorize us to charge your payment method for approved purchases. We may require approval before completing purchases. We may establish transaction limits and may refuse transactions that appear unusual, high-risk, fraudulent, or operationally impractical.

Third-party purchases. You are responsible for purchases that you authorize. Refunds, cancellations, exchanges, warranties, and disputes relating to third-party goods and services are governed by the policies of the applicable third party.

7Accounts, access, and acting on your behalf

You are responsible for maintaining accurate account information.

You authorize Hollis to communicate with third parties on your behalf, convey information and instructions you provide, obtain information relevant to your requests, and take actions reasonably necessary to complete authorized tasks.

This authorization is limited solely to the performance of requested concierge services and does not create a broader agency relationship.

We generally do not request or store passwords as a standing practice. Where account access is required, we may ask you to complete authentication steps directly. You remain responsible for the security of your accounts, devices, and credentials.

8Your responsibilities

You agree to:

  • Use the Service lawfully and in good faith
  • Provide accurate and complete information
  • Review information provided by Hollis before relying on it
  • Maintain the security of your accounts and devices
  • Cooperate reasonably with requests necessary to complete tasks

9Prohibited uses

You may not use the Service to:

  • Violate any law or regulation
  • Commit fraud or deception
  • Facilitate unlawful impersonation
  • Purchase illegal or restricted goods
  • Harass, threaten, abuse, or harm others
  • Infringe intellectual-property rights
  • Access information without authorization
  • Conduct illegal financial activity
  • Resell the Service
  • Engage in activities that create legal, regulatory, or safety risks

We may suspend or terminate accounts for violations of this section.

10Emergency services

The Service is not intended for emergencies or urgent situations requiring immediate professional assistance.

Do not rely on Hollis for medical emergencies, public-safety emergencies, legal emergencies, financial emergencies, or other time-sensitive matters.

If you require emergency assistance, contact 911 or the appropriate emergency-services provider.

11Third-party providers and transactions

Many requests involve third-party providers, including merchants, restaurants, hotels, airlines, travel providers, retailers, event organizers, and other businesses.

All goods and services obtained through third parties are provided solely by those third parties and are subject to their own terms, conditions, policies, pricing, availability, cancellation rules, and refund policies.

Hollis is not responsible for third-party actions, omissions, cancellations, delays, overbooking, pricing changes, quality concerns, refund decisions, service failures, or other conduct.

12Reliance on information

While we strive to provide useful and accurate information, information provided through the Service may come from third parties or public sources.

You are responsible for independently reviewing and confirming reservations, travel details, dates, schedules, pricing, addresses, deadlines, and other information before relying upon it.

Hollis is not responsible for losses arising from inaccurate, incomplete, outdated, or third-party information.

13Communications and SMS

By providing your phone number and opting in, you consent to receive service-related text messages from Hollis.

Message frequency may vary.

Message and data rates may apply.

Reply STOP to opt out.

Reply HELP for assistance.

Consent to receive text messages is not a condition of purchasing any product or service.

14Intellectual property

The Service and all associated content, software, trademarks, branding, designs, and materials are owned by Hollis or its licensors and are protected by applicable law.

Subject to these Terms, Hollis grants you a limited, revocable, non-exclusive, non-transferable license to use the Service for personal, non-commercial purposes.

You retain ownership of information and content you provide, but grant Hollis a license to use such information as necessary to provide, operate, improve, and support the Service.

15Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOLLIS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND RELIABILITY.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR AVAILABLE AT ALL TIMES.

16Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOLLIS AND ITS AFFILIATES, OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AND REPRESENTATIVES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

THIS INCLUDES DAMAGES FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR PROCUREMENT OF SUBSTITUTE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF HOLLIS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF:

(A) ONE HUNDRED U.S. DOLLARS ($100); OR

(B) THE AMOUNT PAID BY YOU TO HOLLIS DURING THE ONE (1) MONTH IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

17Indemnification

You agree to indemnify, defend, and hold harmless Hollis and its affiliates, owners, officers, employees, contractors, agents, and representatives from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising from:

  • Your use of the Service
  • Tasks or purchases you authorize
  • Your violation of these Terms
  • Your violation of applicable law
  • Your infringement of any third-party rights

18Force majeure

Hollis will not be liable for delays, interruptions, degradation, or failures resulting from causes beyond our reasonable control.

These include natural disasters, severe weather, internet outages, telecommunications failures, labor disputes, transportation disruptions, public-health events, governmental actions, civil unrest, acts of terrorism, and failures of third-party providers.

19Right to refuse requests

Hollis may decline, defer, pause, limit, discontinue, or refuse any request, task, transaction, purchase, or account activity at any time for legal, regulatory, operational, security, safety, reputational, technical, financial, business, or other reasons.

We are not obligated to provide a reason for declining a request.

20Suspension and termination

We may suspend or terminate access to the Service at any time if:

  • You violate these Terms
  • We are required to do so by law
  • Continued service presents operational, legal, safety, security, or business concerns

You may stop using the Service and cancel membership at any time.

21Changes to the Service and Terms

We may modify the Service or these Terms from time to time.

If material changes are made, we may provide notice through the Service, by email, or by other reasonable means.

Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

22Governing law and dispute resolution

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

Binding arbitration, class-action waiver, jury-trial waiver, and related dispute-resolution provisions will be added prior to public launch.

23Miscellaneous

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Hollis regarding the Service.

If any provision is held unenforceable, the remaining provisions will remain in effect.

Failure to enforce any provision is not a waiver of that provision.

You may not assign these Terms without our consent.

We may assign these Terms in connection with a merger, acquisition, financing, reorganization, or sale of assets.
